TrustedPlaces API Terms of Use

Thank you for expressing an interesting in the TrustedPlaces API (application programming interface). The TrustedPlaces API (the "Service") will allow you to access and receive valuable local information from TrustedPlaces. These terms of use (the "API Terms of Use") explain the basis upon which transactions will take place between TrustedPlaces and You via the Service, the uses that You may make of the data supplied by TrustedPlaces via the Service, and your obligations and responsibilities in connection therewith. By using the Service, You accept and agree to be bound by the TrustedPlaces Terms and Conditions as well as the API Terms of Use. It is important for You to read each of these documents, as they form a legal agreement between You and TrustedPlaces regarding your use of the Service.

• Service
  • 1.1 Description of the Service.

    The TrustedPlaces API allows You to display the following information subject to the limitations and conditions described below:

    • Basic information on a place: business description, geo-coordinates, pictures, reviews, and ratings
    • Track recent reviews
    • Social information on TrustedPlaces users: friends, pictures, favourites and want-to-go lists
    The information accessible through the Service, not limited to the above is referred to in the API Terms of Use as the "the Content". Subject to the limitations and conditions described in the terms of service, You may use the API to display the Content in conjunction with other information You provide to end users. You may not access, reproduce, or use the Content for any other purpose. The API may be used only for services that are generally accessible to consumers without charge. Accordingly, you may not use the API for any service that requires a subscription or other restrictive access, for which a fee is charged.
    
    
    
  • 1.2 Accessing the Service.

    In order to access or utilize the Service, You must first register on TrustedPlaces in order to receive a valid TrustedPlaces API Key ("TPAK") and agreeing to the Terms of Service. All queries sent to the Service requesting data must reference your valid TPAK. You agree to keep your TPAK confidential and not to share it with any third party. You may not obtain more than one key for use in the Service.

  • 1.3 Modifications.

    TrustedPlaces reserves the right to release subsequent versions of the API and to require You to obtain and use the most recent version. TrustedPlaces may modify the Terms of Service at any time with or without notice. If a modification is unacceptable to You, You may cancel the Service by removing the API code from your site. If You continue to use the Service, You will be deemed to have accepted the modifications.

• Use of the Service

  Subject to your full compliance with all of the Agreements, TrustedPlaces hereby grants You as non-exclusive, revocable, non-transferable licence:

  • To download and use the Service, and any other materials provided by TrustedPlaces, in order to interface with the TrustedPlaces' servers for the purpose of accessing and receiving data from the Content
  • To display such Content on pages of your website and other electronic media
  • To reproduce and display the TrustedPlaces name and logo (the "TrustedPlaces Brand Features") solely in connection with the branding requirements of these API Terms of Use.
  You may not use the Service, the TrustedPlaces Brand Features or any Content for any other purpose not expressly and unambiguously authorized by these API Terms of Use, without TrustedPlaces' prior written consent. All rights not expressly granted to You under these API Terms of Use are reserved by TrustedPlaces.

• Restrictions on Use

  You agree that You are responsible for your own conduct and content while using the Service and for any consequences thereof. You agree to use the Service only for purposes that are legal, proper and in accordance with these Terms of Service and any applicable policies or guidelines. Except as expressly and unambiguously authorized under these API Terms of Use, You may not, without TrustedPlaces prior written consent:

  • Copy, rent, lease, sell, transfer, assign, sublicense, dissemble, reverse engineer or decompile (except to the limit extent expressly authorized under applicable statutory law), modify or alter any parts of the Service; use the Service on behalf of any third party; attempt or provide a means to execute any "bulk download" operations; cached or otherwise store any Content, and/or modify any Content;
  • Defame, abuse, harass, stalk, threaten or otherwise violate the legal rights (such as rights of privacy and publicity) of others;
  • Use TrustedPlaces services and/or Content for any illegal or unauthorized purpose;
  • Remove any copyright, trademark or other proprietary rights notices contained in or on TrustedPlaces;
  • Use any robot, spider, site search/retrieval application, or other device to retrieve or index any portion of the Content or collect information about users for any unauthorized purpose;
  • Submit content that falsely expresses or implies that such content is sponsored or endorsed by TrustedPlaces;
  • Display more than 15 place results at any point of time
  • Use the Service or any Content in connection with or to promote any products, services or materials that constitute, promote or are used primarily for the purpose of dealing in: spyware, adware and/or other malicious programs or code; unsolicited mass distributions of e-mail ("spam"), actions intended to mislead search engines into ranking some pages higher than they would otherwise deserve ("web spam") multilevel marketing proposals, direct marketing and/or telemarketing activities; hate materials; libellous, defamatory, obscene, pornographic, abusive or otherwise offensive content;
  • Use the Service or any Content in any manner or for any purpose that violates any law or regulation, or any right of any person including, but not limited to, intellectual property rights, rights of privacy and/or rights of personality, or which is otherwise harmful to the TrustedPlaces Site, its providers, its suppliers or any end user (including users of the TrustedPlaces Site and/or your own website);
  • Use the Service in a manner that adversely impacts the stability of TrustedPlaces's servers or adversely impacts the behavior of other applications using the Service;
  • Use the Service or any Content in a manner that is directly competitive in nature with the TrustedPlaces Site. For example, you will not:
    • collect end-user ratings or reviews of local businesses on any website that uses the Service or Content;
    • aggregate Content with content from other sources (e.g., you will not create aggregate ratings combining ratings from TrustedPlaces with those from another source);
    • display Content on any web page or application page that includes local business reviews from a source other than TrustedPlaces.

• Branding Requirements

  You agree that, in accordance and strict conformity with the TrustedPlaces Branding Guidelines, You will display the TrustedPlaces Brand Features, together with text-based hyperlinks to the TrustedPlaces Site, on any and all pages of your website, widgets and/or other electronic media incorporating, utilizing or displaying (as applicable) the Service and/or any Content.

  All hyperlinks to the TrustedPlaces Site must connect users directly to the TrustedPlaces Site. You may not minimize, remove or otherwise inhibit the full and complete display of the TrustedPlaces Site accessed by clicking on such hyperlinks. You may not cause the TrustedPlaces Site to be displayed in any pop-up, pop-under, exit windows, expanding buttons or animated windows or to be framed in any way; provided that You shall be allowed to spawn a new, full-sized browser window when a user clicks on the hyperlink to the TrustedPlaces Site and to display the TrustedPlaces Site in such window.

• Proprietary Rights

  As between TrustedPlaces and You, the Service, the TrustedPlaces Brand Features and any and all TrustedPlaces Content (subject to the TrustedPlaces Terms of Service), and all intellectual property rights contained in any of the foregoing, are and shall at all times remain the sole and exclusive property of TrustedPlaces and are protected by applicable intellectual property laws and treaties.

• Termination

  TrustedPlaces reserves the right, in its soles discretion at any time with or without notice to You, to change, suspend, or terminate the Service and may suspend or terminate Your use of the Service at any time, use and/or display the TrustedPlaces Brand Features. Any termination

  Any termination of these API Terms of Use shall also immediately terminate the licenses granted to You hereunder. Upon any termination of these API Terms of Use, You shall promptly delete and remove all calls to the Service from all web pages, scripts, widgets, applications, and other software in your possession or under your control; promptly destroy and remove from all computers, hard drives, networks and other storage media all copies of the Service, TrustedPlaces Brand Features and/or any Content; and You shall promptly certify in writing to TrustedPlaces that such actions have been taken.

  In addition, either party may terminate the Terms of Service at any time, for any reason, or for no reason including, but not limited to, if You engage in any action that reflects poorly on TrustedPlaces or otherwise disparages or devalues the TrustedPlaces Brand Features or TrustedPlaces' reputation or goodwill.

  In the event of any termination or expiration of the Terms of Service for any reason, Sections 5, 6 and 7 shall survive termination.

• Disclaimer of Warranties

  YOU EXPRESSLY UNDERSTAND AND AGREE THAT:

  • OUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TRUSTEDPLACES EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, REGARDING THE SERVICE, TRUSTEDPLACES BRAND FEATURES, AND ANY CONTENT, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES MERCHANTIBILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
  • TRUSTEDPLACES MAKE NO WARRANTY THAT (i) THE SERVICE WILL MEET YOUR REQUIREMENTS, (ii) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (iii) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE, (iv) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS, AND (V) ANY ERRORS IN THE SOFTWARE WILL BE CORRECTED.
  • ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE SERVICE IS DONE AT YOUR OWN DISCRETION AND RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL.
  • NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM TRUSTEDPLACES OR THROUGH OR FROM GOOGLE SERVICES SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THE TERMS OF SERVICE.
  • YOU ACKNOWLEDGE AND AGREE THAT THESE API TERMS OF USE DO NOT ENTITLE YOU TO ANY SUPPORT FOR THE TRUSTEDPLACES API.

• Limitation of Liability

  REGARDLESS OF WHETHER ANY REMEDY SET FORTH HEREIN FAILS OF ITS ESSENTIAL PURPOSE OR OTHERWISE, AND EXCEPT FOR BODILY INJURY, IN NO EVENT SHALL TRUSTEDPLACES OR ITS SUBSIDIARIES, AFFILIATES, OFFICERS, AGENTS, EMPLOYEES AND SUPPLIERS BE LIABLE TO YOU OR TO ANY THIRD PARTY UNDER ANY TORT, CONTRACT, NEGLIGENCE, STRICT LIABILITY OR OTHER LEGAL OR EQUITABLE THEORY FOR ANY LOST PROFITS, LOST OR CORRUPTED DATA, COMPUTER FAILURE OR MALFUNCTION, INTERRUPTION OF BUSINESS, OR OTHER SPECIAL, INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ANY KIND ARISING OUT OF THE USE OR INABILITY TO USE THE TRUSTEDPLACES API, EVEN IF TRUSTEDPLACES HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS OR DAMAGES AND WHETHER OR NOT SUCH LOSS OR DAMAGES ARE FORESEEABLE.

• Indemnities

  You agree that your use of the Service is at your own risk and You agree to hold harmless and indemnify TrustedPlaces and its subsidiaries, affiliates, officers, agents, employees and suppliers from and against any and all claims, damages, liabilities, costs and fees (including reasonable legal fees) arising from, or in any related to Your or Your users' use of the Service or any Content displayed on your website.

• Limited Relationship

  TrustedPlaces and You are, and shall remain, independent contractors, and nothing in these API Terms of Use shall be construed as created an employer-employee relationship, partnership or joint venture. Although You are permitted to publicize your use of the Service, You agree not to make any other statements, without prior written consent of TrustedPlaces, implying a different relationship between You and TrustedPlaces including any implied endorsement of your content, products, or services by TrustedPlaces. You do not have any authority of any kind to bind TrustedPlaces in any respect whatsoever.

• Authority

  If You are using or intending to use the Service on behalf of an employer or other principal, You hereby represent and warrant that You are authorized to enter into this Agreement on your principal's behalf and that this Agreement is fully binding upon such principal.

• Governing Laws

  These API Terms of Use are governed by and construed in accordance with English law and you irrevocably agree that the courts of England and Wales will have exclusive jurisdiction over any dispute arise out of or in connection with these API Terms of Use and our website. Due to the global nature of the internet, you agree to comply with all local laws in relation to use of the Service.
